Overseas companies - USA and offshoreIf you have a company you will need to have a number of officials, the requirements will differ in different countries. We can arrange whatever is required in each, including local agents, company secretaries, active directors, shadow directors or local directors who have no input. Many of these services are an extension of the company formation service, but some can also be solved by using the UK directors below. As the need varies from country to country you may like to discuss first what is required and what may be the reasons why people would go beyond this. UK companiesNormally UK companies have a minimum of two directors and a company secretary, who can also be a director. Not everyone has a person who has the skills to act as a company secretary available to them, and some may not have a person who they would wish to be their fellow director. We have experienced people available to meet just about any needs you might have, plus can sometimes introduce members to other members who may be interested in holding directorships, where you require less involvement. We can therefore tailor a solution to meet your need. We have two specified services as well, that may meet your needs, these are explained below. M2 - UK company secretaryThe company secretary has to make sure that relevant annual returns are completed, changes in relation to the company are filed and other official correspondence is dealt with on time. It is not a secretary, as many would think of one. This is not a large role and in most cases only takes a couple of hours a year but has to be done properly and everything has to be filed on time or penalty charges soon start to pile up. The person we can provide has wide experience of UK, USA and offshore companies and is currently the company secretary for quite a number of companies. The cost of using this service is just £300 a year plus cost. Cost can be as low as £15 a year. If you want the company secretary to do more for you, or attend board meetings away from our office, then additional costs are those from the business management handholding service. M3 UK company directorWe can provide an experienced director with relevant knowledge to the property market and overseas property buying. In most cases this is the same person who undertakes the company secretary roles, and has experience of being a director of UK, USA and offshore companies varying from small companies up to international groups. This is however an active director, who you have to keep informed and has to be consulted on all major actions, although it can be a non executive role, so that the involvement is as a board member as opposed to a manager. The reason we insist on our directors being active is that should the company fail or run into problems this could reflect upon the directors, and by this means also effect other companies we are supporting, so it is in the interest of every company we are dealing with that every company is run professionally and all problems spotted and corrective action taken. If this is beyond what you need then rather than diluting this service we are often able to find another club member willing to be a director who is less involved. The cost of using this service is £500 a year plus time and other costs at the same rates as the business management handholding service. We are sometimes asked if you could have the executive director of H3 Search who undertakes the better finding operations and H services, as a director of your company. This is not really practical due to his commitments and the fact that he has often to be in other places, particularly the USA, and you are better off using the handholding services he provides, as a part of the UK or USA property finding and extending the use of this to answer specific needs, rather then having him as a director of your company. If you need a director as above and to use one of the 'H' handholding services so as to get the maximum experience available to you then as these two are working together so much of the time and as you can easily arrange to come and meet them together, you can end up with an ideal mix.
